CONSTITUTION

 

 

PREAMBLE

 

We, the undersigned, all citizens of the United States, and active or former members of the 12th Cavalry Regiment, and desiring to form a 12th Cavalry Regiment Association do hereby associate ourselves and certify as follows:

 

 

ARTICLE 1

Name and Objectives

 

Section 1.    The name of this association shall be “12th Cavalry Regiment Association”. Hereinafter and in the By-laws of the Association referred to as the “Association”.

 

Section 2. The duration of the Association shall be perpetual.

 

Section 3. The objectives and purposes of the Association shall be as follows:

  1. To honor those comrades in Arms who have served in the 12th Cavalry Regiment, the Battalions thereof, and the units attached thereto; and to honor those who have sacrificed their lives while serving in the 12th Cavalry Regiment.

  2. To preserve and strengthen the comradeships formed while serving in the 12th Cavalry Regiment through an Association newsletter, reunions and any other means deemed desirable,

  3. To proclaim and publish the traditions, history, and achievements of the SEMPER PARATUS Regiment.

  4. To support the service members actively serving in the 12th Cavalry Units.

  5. To sponsor or participate in activities of a patriotic nature.
     

ARTICLE II

Membership

 

Section 1.    All persons who have served honorably, are presently serving, and who may serve in the future with the 12th Cavalry Regiment, and with any units attached thereto, who otherwise qualify, shall be eligible for membership in the Association.

 

Section 2. Wives, widows, and widowers of persons who are or would have been eligible for membership are also eligible for membership.

 

Section 3. Membership dues, classes of members, and other member considerations such as “Friends of the Regiment” shall be set forth in the Association By-laws.

 

Section 4. The Association shall be non-political, non-partisan, and non-sectarian.

 

 

ARTICLE III

Officers, Duties, Administration

 

Section 1. The administration and conduct of business of the Association shall be vested in a Board of Officers consisting of a President, a Vice President, and a Secretary/Treasurer.

 

Section 2. The Board of Officers shall be elected and shall serve such terms as are set forth in the By-laws of the Association.

 

Section 3. Duties of the Officers of the Association shall be as set out in the Association By-laws,

 

Section 4. The By-laws may provide for appointment of committees to assist in administration of the Association.

 

Section 5. Private property of the members of the Association shall not be subject to payment of the Association debt.

 

 

ARTICLE IV

Meetings

 

Section 1. The legislative and regulatory powers of the Association shall be vested in the general membership of the Association who shall be called to convene at least annually ay an Annual Reunion meeting.

 

Section 2. The time and place of such Annual Meeting, or any other general meeting of the members, shall be as set forth in the By-laws of the Association.

 

 

ARTICLE V

Amendments

 

Section 1. This Constitution may be amended by a two-thirds vote of the members present and voting at the Annual Reunion meeting, provided that adequate notice (30 days) of the proposed amendment has been furnished to the membership.

 

Section 2. Notices of approved amendments will be furnished the membership within 120 days after the Annual Reunion meeting.
